Terms & conditions

0. Scope & Compliance

These Terms of Use (the "Terms") govern only your access to and use of the Site and the online features and services made available through it (the "Online Services"). They are designed to set clear responsibilities and support compliance with applicable children’s privacy laws in deployments involving minors—including the U.S. Children’s Online Privacy Protection Act (COPPA), where applicable.

These Terms do not replace our Privacy Policy or COPPA’s required Direct Notice to parents. Commercial relationships (e.g., services or licensing, rights schedules, fees, statements of work/"SOW", MELF, data processing agreements/"DPA") are governed by separate, signed agreements, which prevail in case of conflict.

If you do not agree to these Terms, do not access or use the Site.

1. Acceptance

By accessing, browsing, or using the Site or the Online Services you acknowledge that you have read, understand, and agree to be legally bound by these Terms and by any policies referenced in them (including the Privacy Policy).

If you are using the Site on behalf of a company, school, or other legal entity, you represent and warrant that you have full power and authority to bind that entity to these Terms; in that case, all references to “you” and “your” refer to that entity.

If you do not have such authority, or do not agree to these Terms, you must not access or use the Site.

2. Eligibility

The Site is aimed at adults acting in a professional capacity. It is not directed to children under 13. If you are under the age where you can form a binding contract in your jurisdiction, you may use the Site only with the consent of a parent or legal guardian.

3. Permitted Use

You may use the Site only as permitted by law and these Terms. You agree not to:

  • Access or attempt to access any non-public areas, systems, or data without authorization;

  • Interfere with or disrupt the operation or security of the Site (including by automated scraping, bulk requests, or other excessive load);

  • Use the Site for unlawful, defamatory, discriminatory, or harmful activities, including any activity that may put children at risk.

4. Intellectual Property in the Site

The Site and its content (text, graphics, logos, templates, and related materials) are owned by Edutopia or its licensors and are provided under a limited, non-exclusive, revocable license to view and use the Site. No license is granted over third-party intellectual property (including characters, brands, or works) merely by visiting the Site.

5. Links & Third-Party Services

(a) Ownership and license. The Site, the Online Services, and all content available through them (including text, graphics, artwork, photographs, audiovisual works, templates, software, designs, layouts, look‑and‑feel, and compilations; collectively, "Site Content") are owned by Edutopia or its licensors and are protected by intellectual property and other laws. Subject to your compliance with these Terms, Edutopia grants you a limited, revocable, non‑exclusive, non‑transferable, and non‑sublicensable license to access and display the Site Content for your internal business use solely to evaluate or interact with the Site. Except for the foregoing license, no rights are granted or assigned; all rights are reserved.

(b) Restrictions. You must not (and must not permit any third party to): (i) copy, reproduce, modify, adapt, translate, create derivative works from, publish, distribute, perform, display, transmit, scrape, harvest, or otherwise exploit any Site Content; (ii) reverse engineer, decompile, disassemble, or attempt to extract source code from any software associated with the Site; (iii) remove, obscure, or alter any copyright, trademark, or other proprietary notices, watermarks, or technological protection measures; or (iv) use any trademarks, service marks, or logos appearing on the Site without prior written consent, except as permitted by applicable law.

(c) Third‑party IP & brand depictions. The Site may reference or depict third‑party intellectual property (including characters, brands, trademarks, logos, images, music, or other works) ("Third‑Party IP"). Third‑Party IP is the property of its respective owners and appears on the Site under license, by permission, or as lawful nominative/fair use for identification purposes only. No right, title, or license to any Third‑Party IP is granted to you by visiting or using the Site. Any use of Third‑Party IP is subject to the applicable licensor/vendor terms and, where relevant, style guides, territories, media, and approvals agreed in writing.

(d) Notice of alleged infringement. If you are a rights holder and believe that any Site Content infringes your rights, please follow the contact instructions in Section 14 (Contact; Notices; Children’s Privacy Inquiries) and include sufficient detail to identify the material. We will assess and take appropriate action consistent with applicable law.

6. Privacy & Children’s Data

Please review our Privacy Policy to understand how we process data on the Site. We do not knowingly collect personal information from children under 13 through the Site.

If a project or deployment involves children’s data, that activity will be governed by the specific agreements between Edutopia and the client; and by applicable law, including COPPA, which requires online notice, direct notice to parents, and verifiable parental consent before collecting personal information from a child.

7. Feedback

Any ideas, suggestions, proposals, comments, or other materials you provide relating to the Site or our business (collectively, "Feedback") are deemed non-confidential and non-proprietary. By submitting Feedback, you:

(a) assign to Edutopia, without restriction, all right, title, and interest worldwide in and to the Feedback, including any intellectual property rights; and, to the extent any assignment is not effective under applicable law, you grant Edutopia a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty‑free license to use, reproduce, host, display, perform, modify, create derivative works from, distribute, make available, and otherwise exploit the Feedback for any purpose;

(b) waive and agree not to assert any so‑called moral rights or similar rights in the Feedback, to the maximum extent permitted by law;

(c) acknowledge that Edutopia may already be independently developing or may later develop ideas similar to the Feedback, and that no consideration, attribution, approval, or accounting is owed to you;

(d) represent and warrant that you have all necessary rights to submit the Feedback and that the Feedback does not infringe or misappropriate any third‑party rights, does not include personal data of children under 13, and complies with applicable law and these Terms.

Edutopia has no obligation of confidentiality with respect to Feedback and may use it freely without restriction or compensation.

8. Disclaimer of Warranties

THE SITE AND ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDUTOPIA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.

10. Suspension & Termination

We may suspend, restrict, or terminate your access to the Site or the Online Services, in whole or in part, at any time and at our sole discretion, with or without prior notice, including where: (i) you have violated these Terms or any applicable policy; (ii) we reasonably suspect fraud, misuse, unlawful activity, or conduct that may harm others (including children) or the integrity of the Site; (iii) we are required to do so to comply with law, regulation, court order, or a request of a governmental authority; (iv) there is an actual or suspected security incident, vulnerability, or technical/operational risk; or (v) we modify, discontinue, or withdraw all or any part of the Site.

We may take any action we consider necessary to enforce this Clause, including blocking access (e.g., by IP), rate-limiting requests, and removing or disabling access to any content. We shall not be liable for any loss or damage arising from any suspension, restriction, or termination made in accordance with this Clause.

You may cease using the Site at any time. If you believe access was suspended or terminated in error, you may contact us using the details in Section 14 (Contact).

Upon termination, all rights and licenses granted to you under these Terms immediately cease. Any provisions which by their nature should survive termination shall survive, including, without limitation, Section 4 (Intellectual Property in the Site), Section 7 (Feedback), Section 8 (Disclaimer of Warranties), Section 9 (Limitation of Liability), Section 11 (Changes to these Terms), Section 12 (Governing Law & Jurisdiction), and Section 13 (Relationship with Signed Agreements).

11. Changes to the Terms

We may amend these Terms at our sole discretion. We will indicate the date of the latest revision by updating the Effective date at the top of this page and, where changes are material, we will provide additional notice (for example, by posting a banner on the Site or sending an email if you have provided one).

Unless a later effective date is specified in the notice, amendments take effect upon posting. If you do not agree to the amended Terms, you must stop using the Site. Your continued access to or use of the Site on or after the Effective date of any amendment constitutes your acceptance of the amended Terms. Changes made for legal, regulatory, or security reasons may take effect immediately upon posting.

12. Governing Law & Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Site are governed by the laws of the Republic of Paraguay, without regard to conflict-of-laws rules.

The courts of Asunción, Paraguay shall have non-exclusive jurisdiction. Either party may seek temporary, injunctive, or equitable relief in any court of competent jurisdiction to protect its rights or interests (including intellectual property and data protection) pending a final determination.

Mandatory laws. Notwithstanding the foregoing, to the extent a deployment involves the collection or processing of personal information from children in the United States, the parties acknowledge that the Children’s Online Privacy Protection Act (COPPA) and related FTC rules may apply, and nothing in these Terms limits compliance with such mandatory laws.

13. Relationship with Signed Agreements (Order of Precedence)

These Terms do not modify or replace any signed agreement between Edutopia and a client, licensor, supplier, distributor, or other partner (including, without limitation, Master Services Agreements (MSA), Statements of Work (SOW/MELF), Order Forms, License Agreements—such as content/media or brand/character licensing—Distribution/Reseller Agreements, Vendor Agreements, Data Processing Agreements (DPAs), Non‑Disclosure Agreements (NDAs), or any other written terms executed by the parties).

For activities involving third‑party IP or third‑party services, the applicable licensor/vendor/partner terms control to the extent of any inconsistency. In the event of a conflict between these Terms and any such signed agreement, the signed agreement prevails with respect to the relevant relationship, services, project, IP, or transaction. No rights or licenses to third‑party IP are granted by these Terms except as expressly stated in a signed agreement.

Notices. All notices, requests, and legal communications relating to these Terms should be sent in writing to the email address above with the subject line “Legal Notice – Website Terms.”

Children’s privacy. If you are a parent or legal guardian and believe that a child under 13 has provided personal information on the Site without the required consents, please email us at info@edutopia-studios.com with the subject line “COPPA Inquiry.” Include: (i) the child’s first name and last initial, (ii) a description and approximate date of the interaction, and (iii) your contact information.
We will promptly assess your request and take appropriate steps consistent with applicable law—such as deleting or anonymizing the information—after verifying your identity and relationship to the child.

For requests to access, correct, or delete personal information more generally, please follow the instructions in our Privacy Policy.
